The Good, the Bad and the Ugly About Debriefings and Bid Protests

Government contractors can spend hundreds of hours doing research, building a team and crafting a proposal. So when they lose the bid to competitors, it is a great disappointment.

A key component of learning what went wrong is the debriefing agencies are supposed to give losing bidders so they can gain insights on why their bids failed.

But there are problems with the quality and consistency of agency debriefings. This drives many companies to file bid protests to force agencies to share more information.

In this Power Breakfast, we’ll discuss the findings of the latest WT Insider Report on debriefings and bid protests that reveal industry frustrations with the process and where they want it to improve.     Cy Alba counsels clients in a broad range of government contracting matters before government agencies, and Federal courts which includes overall regulatory compliance with all of the SBA’s Small Business programs. Mr. Alba represents small and mid-sized companies looking to structure compliant teaming, joint venture, and mentor-protégé agreements. He handles the prosecution and defense of small business size and status protests and appeals before the SBA and OHA, as well as bid protests before the GAO, COFC, and the U.S. Court of Appeals for the Federal Circuit.

    Mr. Alba’s work for the firm’s federal contractor clients also includes preparation, negotiation, and prosecution of Contract Dispute Act claims, Requests for Equitable Adjustments, termination for convenience settlements, defense of suspensions and debarments, the preparation of Organizational Conflict of Interest (“OCI”) mitigation plans and counseling related to OCI issues, as well as FAR/DFARS Data Rights issues, IP licensing, copyright, and trademark issues.

    Mr. Alba works closely with our Corporate Group and has extensive experience structuring Mergers and Acquisitions transactions, corporate restructurings, and partner buy-outs ranging from small transactions to single acquisitions valued at $100M to ensure they meet the corporate needs and are compliant with Federal procurement laws and regulations.

    Mr. Alba counsels clients on certain ITAR compliance issues and the preparation of technical assistance agreements and/or manufacturing licensing agreements for the export of defense articles and data. He also assists clients with employment related issues and Service Contract Act matters.

    James C. Fontana is the co-founder and managing partner of Dempsey Fontana, PLLC. He has over 34 years of experience as an attorney specializing in government and commercial contracts and related litigation, as well as ethics compliance and corporate governance issues. He also specializes in mergers and acquisitions in both the government technology and commercial sectors. In 2006, the Association of Corporate Counsel named Mr. Fontana Outstanding Chief Legal Officer in the Washington D.C. Metropolitan Area. In both 2005 and 2006, the Washington Business Journal named Mr. Fontana a Top Attorney in the Washington, DC area in the General Counsel category. In 2014 Mr. Fontana received the Power Players Award from Washington SmartCEO in recognition of his “leadership, accomplishments, innovation and success” as a Washington, DC-area attorney.

    Mr. Fontana is formerly Senior Vice President, General Counsel and Corporate Secretary of Apptis Holdings, Inc., a leading provider of IT solutions and services for government and industry. In this position he was responsible for all of the legal affairs of Apptis and its subsidiaries. Prior to joining Apptis, Mr. Fontana served as general counsel to a number of other public and private companies, including Alion Science and Technology Corp., Wang Government Services, and BDM International (through its Vinnell Corp. subsidiary). He also has substantial private practice experience with well-known law firms, such as Reed Smith and Kominers Fort.

Jerry Howe

    Jerald S. Howe, Jr. is a Leidos executive vice president and the company’s general counsel. Howe has responsibility for legal, contracts, corporate governance, environmental health and safety, and administrative oversight of the ethics and compliance and internal audit functions. He joined Leidos in July 2017 after serving as partner at Fried, Frank, Harris, Shriver & Jacobson LLP (Fried Frank) where he was a member of the firm’s government contracts, mergers and acquisitions (M&A), and aerospace and defense practices.

    Howe is an accomplished leader who has demonstrated solid ethics and integrity throughout his 30 years of experience advising and representing clients (including Leidos) in government contracts litigation, investigations, and bid protests as well as in M&A and private equity transactions. His experience includes the aerospace, defense, intelligence, and government services sectors.

    Before joining Fried Frank, Howe was the senior vice president and general counsel at TASC, a leading aerospace and defense company. In this position, he oversaw the company's legal affairs, corporate development and M&A, ethics and compliance programs, government relations, and security. Previously, he was owner and principal of InSequitur LLC, a consulting firm, and executive vice president of the Olive Group. Howe also served as senior vice president and general counsel of Veridian Corporation, a publicly traded company that provided advanced technology services and solutions to the intelligence community, military, and homeland defense agencies.

    Before first transitioning to the corporate world, Howe was a partner for nine years at a Steptoe & Johnson LLP, where his practice focused on aerospace law and transactions, government contracts law, litigation with an emphasis on high-technology procurement, and federal court civil and appellate litigation. He represented preeminent defense, aerospace, and information technology companies including Boeing, Hughes, McDonnell Douglas, and Motorola. Previously, he served as law clerk to Judge George E. MacKinnon of the United States Court of Appeals for the District of Columbia Circuit. Mr. Howe currently serves as a moderator for the Aspen Institute, co-founder and treasurer of No Labels, and board member of USO Metropolitan Washington-Baltimore. He is a past president of the Federal Circuit Bar Association and past chair of the Washington Space Business Roundtable.

Bob Lohfeld

    Bob Lohfeld serves as Chairman of the Board of Lohfeld Consulting Group. He has more than 30 years’ experience winning contracts in the government market and is recognized consistently for leadership in business development, capture management, and winning proposals development.

    He teaches Capture Management, and he writes the Capture Management column in Washington Technology magazine. Prior to forming Lohfeld Consulting Group, Bob served as Division President at Lockheed Martin, Vice President of Lockheed Martin Information Technology, Senior Vice President at OAO Corp., Systems Engineering Manager at Computer Sciences Corp. (CSC), and Program Manager at Fairchild Industries. He also taught at the graduate level at George Washington University School of Engineering Administration.

    Bob has served on the Board of Directors for the Association of Proposal Management Professionals and Association of Proposal Management Professional National Capital Area Chapter (APMP-NCA) and as Chairman of the American Council on Technology Industry Advisory Council (ACT/IAC), Vice Chairman of the Technology Council of Maryland (TCM), and Board Member of the Armed Forces Communications and Electronics Association (AFCEA), Government Electronics and Information Association (GEIA), and Juvenile Diabetes Research Foundation (JDRF Capital Region). He is a three-time winner of Federal Computer Week’s Federal 100.

Ralph White
Managing Associate General Counsel for Procurement Law, GAO

    Ralph White is a Managing Associate General Counsel for Procurement Law, within the Office of the General Counsel, U.S. Government Accountability Office (GAO). Since joining GAO in 1989, Mr. White has handled bid protests as a writing attorney/hearing officer, as an Assistant General Counsel leading a team of GAO attorneys, and since early 2010, as a Managing Associate General Counsel leading GAO’s bid protest forum.

    Prior to joining GAO, Mr. White was an associate attorney in the Washington, D.C. Office of Fried, Frank, Harris, Shriver and Jacobson, where he practiced government contracts law from 1985 to 1989. Prior to entering private practice, Mr. White worked for six years as a Senate staffer, including serving on the staff of the Senate Armed Services Committee, and the Oversight Subcommittee of the Senate Governmental Affairs Committee. In the Senate, Mr. White specialized in federal procurement policy, including staff work on the Competition in Contracting Act of 1984, and other procurement-related legislation.

    Mr. White is a graduate of the College of William and Mary (B.S. 1978), and the Catholic University Law School (J.D. 1985).
